Last Updated: 13 Apr 2026
These Terms & Conditions govern your use of the Ultimate B2B website and any orders placed through it. By using this website, registering for an account, or placing an order, you agree to be bound by these Terms & Conditions.
1. About Us
This website is operated by Cutajar Ltd, of Triq l-Akwedott, Birkirkara, Malta.
For any questions regarding these Terms & Conditions, you may contact us at:
Email: info@cutajarltd.com
2. Business Customers Only
This website is intended primarily for business-to-business transactions.
By registering or placing an order, you confirm that:
- you are acting in the course of a business, trade, or profession, or on behalf of a business entity;
- you have the authority to bind that business where applicable; and
- all information provided by you is accurate, complete, and up to date.
3. Account Registration and Approval
Certain parts of the website, including pricing, stock visibility, ordering capabilities, and account-specific terms, may only be available to approved users.
You agree to:
- provide accurate and complete registration information;
- maintain the confidentiality of your login credentials;
- ensure that all activity conducted through your account is authorised; and
- notify us immediately of any unauthorised use of your account or any security breach.
We reserve the right to approve, refuse, suspend, restrict, or terminate account access at our discretion where commercially or legally necessary.
4. Products and Availability
We aim to ensure that product descriptions, images, technical specifications, availability, and related information are accurate and current. However, all such information is provided for general guidance only and may be updated or corrected from time to time.
We reserve the right to:
- modify, replace, or discontinue any product without notice;
- limit product quantities;
- amend product information or specifications; and
- correct any errors, inaccuracies, or omissions at any time.
Product images are for illustrative purposes only and actual goods may vary slightly in appearance, packaging, or minor specifications.
5. Pricing
Prices shown on the website may be specific to your account, customer tier, or approved trading status. All prices are subject to change without notice.
While we make every effort to ensure pricing accuracy, errors may occasionally occur. In the event of a pricing or system error, we reserve the right to correct the error and, where necessary, cancel or refuse the affected order.
Adding a product to the basket does not reserve stock or confirm a price.
6. Orders
When you place an order through the website, you are making an offer to purchase goods from us subject to these Terms & Conditions.
An order shall not be deemed accepted until it has been reviewed and expressly approved by us. We reserve the right to reject, cancel, or amend any order at our discretion, including where:
- products are unavailable;
- pricing or product information is incorrect;
- there are credit, compliance, or verification concerns;
- fraudulent or suspicious activity is suspected; or
- delivery or fulfilment is not possible.
Any order acknowledgement or automated confirmation does not in itself constitute formal acceptance of the order.
7. Payment Terms
Payment terms available to you will depend on your account status and any commercial arrangement agreed with us.
Approved customers may be granted specific payment terms as determined by us. All invoices must be paid in full by the applicable due date.
We reserve the right to suspend orders, deliveries, or account access where any amount remains overdue or where we reasonably believe there is a payment risk.
8. Delivery
Delivery dates and times are estimates only unless expressly confirmed otherwise in writing.
We shall not be liable for delays caused by stock shortages, transport issues, third-party courier delays, customs matters, inaccurate delivery details, or events beyond our reasonable control.
You are responsible for inspecting goods promptly upon delivery and for notifying us within a reasonable time of any visible damage, shortages, or incorrect items.
Risk in the goods passes to you upon delivery, collection, or transfer to your nominated carrier, unless otherwise agreed in writing.
9. Title to Goods
Ownership of goods shall remain with us until full payment in cleared funds has been received for those goods and for any other outstanding amounts lawfully due to us.
Until ownership passes, you must:
- store the goods separately and identify them clearly as our property;
- keep the goods in good condition;
- not remove or obscure any identifying marks; and
- permit us to recover the goods where payment is overdue and recovery is legally permissible.
10. Returns, Faults and Claims
Returns are subject to our approval and must comply with our applicable returns procedure. Goods may only be returned where authorised by us in advance.
We reserve the right to refuse returns where, including but not limited to:
- the goods were specially ordered or non-standard;
- the goods are no longer in resaleable condition;
- original packaging is missing or damaged;
- the return is made outside the permitted period; or
- the issue falls outside any applicable warranty or agreed returns terms.
Faulty goods should be reported promptly and accompanied by relevant evidence, including order details, photographs, serial numbers, or other supporting information where required.
11. Warranties
Where goods are supplied with a manufacturer’s warranty, such warranty shall be governed by the manufacturer’s applicable terms unless expressly stated otherwise by us in writing.
Unless otherwise agreed, responsibility for product suitability, compatibility, installation, and intended use rests with you. Warranty coverage may be excluded where damage or failure results from misuse, incorrect installation, negligence, unauthorised modification, or unauthorised repair.
12. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential loss or damage, including but not limited to loss of profit, loss of business, loss of revenue, loss of data, loss of goodwill, or business interruption.
Our total liability in connection with any claim, order, or transaction shall not exceed the amount paid for the goods giving rise to the relevant claim.
Nothing in these Terms & Conditions shall exclude or limit liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
